Gutbiomics General Terms and Conditions
  1. General Terms and Conditions

This Terms and Conditions document (“Agreement”) governs your use of the Gutbiomics platform (“Platform”), available at gutbiomics.eu, which is owned and operated by CosmoGroup BV, located at Ringlaan 7 – 9900 Eeklo – Belgium, registered in the Crossroads Bank for Enterprises under the number X (“Gutbiomics”, “we”, “us”, or “our”). By using the Platform and its services, including but not limited to, accessing and viewing gutbiomics, microbiome, tolerance and KPI reports, ordering personalized nutrition supplements and other related services (collectively, the “Services”), you agree to be bound by this Agreement and the applicable data protection laws, including the General Data Protection Regulation (GDPR). This Agreement also applies to any Platform updates, supplements, internet-based services and support services for the Platform, unless other terms accompany those items on delivery. If so, those terms apply. If you do not agree to all of the terms in this Agreement, do not use the Platform. 
  3. Temporary license grant: Gutbiomics hereby grants you a temporary, revocable, non-exclusive, non-transferable, license to download, install and use the Platform strictly in accordance with the terms of this Agreement. Access rights may be revoked if you do not respect your payment obligations or any of the obligations mentioned in this Agreement. You are permitted to access the Platform using a device (for example a desktop, laptop, mobile or tablet) under your control. You are responsible for ensuring that your device meets the minimum requirements of the Platform and you should be aware that it may not work properly if your device does not meet the minimum requirements. Any damage caused to your equipment while downloading, installing or using the Platform is not our responsibility. You are solely liable concerning your hardware. You are not permitted to 1) use the Platform in any way which breaches any applicable local, national or international law, 2) use the Platform for any purpose that is in breach with this Agreement, 3) use the information gathered inside the Platform for any other purpose that is not related to the scope of the Platform, neither sell, distribute or misuse that information for your own benefit or in harm of its information owner or other users. 
  4. Acknowledgment of pilot project: You acknowledge and agree that: 1) the Platform is a pilot project and is not an official product and has not been officially released, 2) the Platform may not operate properly, be in final form or fully functional and 3) the Platform may contain errors, design flaws or other problems.
  5. Account Registration: To use the Services, you must create a user account on the Gutbiomics Platform so we can provide you the Platform in an optimal manner and to ensure authorized access and the security of the Platform. You agree to provide accurate, current, and complete information during registration and to keep this information up to date. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. After having created an account, you will be asked to choose a product plan. The Team Manager declares to only access the Platform linked to the respective Sports Person(s) with the prior written consent of the latter. Such access and consent concerns the sole responsibility of the Team Manager. If you are registering on behalf of a company or other legal entity, you attest that you have the authority to represent such entity and its affiliates to this Agreement. If you do not have such authority do not use the Platform. 
  6. Personal Data Collection: Gutbiomics is committed to protecting your personal data and privacy. We adhere to the GDPR and implement appropriate security measures to safeguard your data. Gutbiomics collects and processes your personal data, such as your name, address, email address, phone number and other relevant information, as well as from the Sports Person the date of birth, biosamples, including sweat, urine, stool, and saliva, for the purposes of providing the Services and conducting research. By registering an account and using the Services, you consent to the collection and processing of your personal data in accordance with our Privacy Policy and the GDPR.
  7. Age Requirements and Consent: The Services are intended for users of various age groups. Users, Sport Persons, under the age of 18 (“Child Users”) must obtain consent from a parent or guardian, the legitimate representative, before using the Services. The Platform will implement an age verification mechanism to ensure that Child Users obtain the necessary parental or guardian consent before using the Platform.
  8. Modifications to the Platform: Gutbiomics reserves the right to modify the Platform or any service to which it connects, with or without prior notice and without liability to you.  
  9. Biosample Collection and Analysis: When you choose a product plan, Gutbiomics will send a kit to the Team Manager to collect the biosamples of the Sports Person for multiomics analysis. Team Manager and Sports Person agree to follow the instructions provided with the kit to ensure proper collection and preservation of the samples. Team Manager and Sports Person acknowledge that the biosamples will be used solely for research purposes and the generation of personalized reports and recommendations. 
  10. Intellectual Property: The Platform and all content, materials, and information provided on the Platform and through the Services are the property of Gutbiomics or its licensors and are protected by copyright, trademark, and other intellectual property laws. You agree not to reproduce, copy, distribute, resell, translate, or modify any such content nor combine the whole or any part of the Platform with or incorporate the Platform in any other software without the express written consent of Gutbiomics. Except to the extent permitted by law, you may not perform, attent to or encourage or assist others in performing any of the following while accessing or using the Services: 1) use, display or frame the Platform or any individual element of it, including the layout and design of any page, without Gutbiomics’s express written and previous consent, 2) use Gutbiomics’s name, trademark or logo without Gutbiomics’s express written and previous consent, 3) test the vulnerability of any Gutbiomics system or breach any security or authentication measures, 4) modify, decompile, disassemble, reverse engineer, or otherwise attempt to derive the source code of any software that Gutbiomics provides to you or any other part of the Services. 
  11. Limitation of Liability: Gutbiomics shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of or inability to use the Services, or from any decisions or actions taken based on the information and recommendations provided through the Services. The Services do not contain health care services and are not intended to be a substitute for professional medical consultation, advice or treatment from qualified doctors. The Services nor the Platform are intended to diagnose, treat, cure or prevent any disease. If you experience medical inconveniences or emergency, contact a medical professional. Gutbiomics is not responsible for any health problems that may result from using the Services or Platform. Gutbiomics wishes to provide helpful and accurate information, but makes no representation or warranty of any kind about any content or information resulting from its Services. The accuracy of the data and information collected and presented through the Platform and its Services is not intended to match that of medical devices or scientific measurement devices. Gutbiomics is not responsible for the accuracy, reliability, availability, effectiveness or correct use of information you receive through the Platform or Services. Gutbiomics is only liable for damages directly resulting from gross negligence or wilful misconduct. The liability of Gutbiomics is limited to the amount for which it is covered and which is effectively paid by its insurance company. If the professional liability insurer does not cover the damage for any reason whatsoever, Gutbiomics’s liability will be limited to a compensation (the total of the principal amount, costs and interests) up to a maximum of the value of the Services provided, which will be determined by means of the amount spent by you during the use of the Platform for the Services concerned. If this limitation of liability would in any way exceed the permitted legal limitation, you will refrain from claiming nullity. In such case, the limitations mentioned in this article shall be reduced/moderated to the maximum allowed within the applicable legal limitation. 
  12. Termination: This Agreement shall remain in effect until terminated by you or by Gutbiomics. Gutbiomics can suspend and block all activities of any user without any prior notice for up to 30 days in case it is investigating or analyzing a breach of this Agreement by the user or a behavior or use of the Platform that is anyhow incompatible with its objectives, goals or principles. This Agreement will terminate, without prior notice from us, in the event that you fail to comply with any provision of this Agreement. Upon termination of this Agreement you will cease all use of the Platform and delete all copies of the Platform from your mobile device, desktop or any other equipment in which you have downloaded, installed or used the Platform. 
  13. Indemnification: You agree to indemnify and hold harmless Gutbiomics and its subsidiaries, affiliates, officers, employees, agents, partners and licensors from and against any losses, claims, demands, damages, liabilities, expenses (including reasonable legal fees and costs), judgments, fines, penalties, interests, settlements, or other amounts arising from any and all threatened, pending or completed claims, demands, actions, suits or proceedings, whether civil, criminal, administrative, or investigative, and whether formal or informal and including appeals to which Gutbiomics or other mentioned related party may become subject to arising out of your: (a) use of the Platform; (b) violation of this Agreement or any law or regulation; or (c) violation of any right of a third-party.
  14. Changes to this Agreement: Gutbiomics reserves the right to modify or update this Agreement at any time. We will notify you of any changes, and it is your responsibility to review the updated terms. Your continued use of the Services after any changes to this Agreement will constitute your acceptance of the revised terms.
  15. If one or more stipulations in the present Agreement would be null, invalid, non-enforceable or illegal, the remaining stipulations will remain in full effect. In such event, Gutbiomics and you undertake to replace the null, invalid, non-enforceable and/or illegal stipulation with a valid stipulation that is as close as possible to the intention of the original stipulation. 
  16. Dispute resolution: You agree that any dispute between you and Gutbiomics arising out of or relating to this Agreement, the Services and/or the Platform will be governed exclusively by Belgian law. The courts of Belgium (East Flanders, Ghent division) will have exclusive jurisdiction to take cognizance thereof.

  • Output data, in the form of personalized reports and recommendations
  • Payment & transaction data, such as shipping and payment details 
  • Usage data, showing us how you make use of our Platform 

 Why do we collect this information?

We collect your information in order to offer you our Platform in an optimal way, in accordance with the General Terms and Conditions concluded between you and Gutbiomics.

In particular we collect your data for the following purposes:

  • Account creation and security
  • Providing personalized reports and recommendations
  • Giving effect to purchases made via our Platform
  • Improvining our services and Platform

 

Who has access to your data?

  • Only the relevant part of Gutbiomics‘ team has access to the information you provide us with.
  • Furthermore, we use some suppliers and service providers, such as but not limited to computer security, digital solutions, payment and web hosting services. These parties are legally obliged to ensure your privacy at all times, and will only process data in accordance with our purposes.
  • Finally, we may commission a third party to process your data. However, they can only do this for aforementioned purposes and upon our instructions and signature of a data processing agreement.

What do you control?

 At any moment, you can request to modify, erase or get a copy of your data. To do so, we kindly request you to follow the procedure as described in our full Privacy Notice under Article 5.7.

What do we do to protect your data?

 We adopted appropriate safety measures on a technical and an organizational level.

  • Your data is stored on high-security servers within the European Union. 
  • In order to improve our platform and ensure its safety, Gutbiomics may need to use the data you have provided us. However, at all times, Gutbiomics shall use this data in a GDPR-compliant form, using state of the art software and solutions.
  • We have implemented internal procedures to ensure the confidentiality of our IT-infrastructure and to make sure it is managed responsibly.

We are committed to treat your Personal Data in the strictest confidentiality, in accordance with the data protection legislation in force and the present Privacy Notice (hereinafter the “Privacy Notice”).

This Privacy Notice is intended to inform you, in a transparent manner, about the data we collect, the purpose for collecting it, the way we use it and the rights you have regarding the processing of such data.

You are not obliged to provide us your Personal Data, however understand that in some cases we will not be able to carry out the requested business activities or provide you the requested information in case you refuse to provide us certain Personal Data.

Gutbiomics reserves the right to change, modify and update this Privacy Notice from time to time by making a revised version available on the Platform. Therefore, we recommend you regularly consult this Privacy Notice, to make sure that you are aware of all changes.

                Article 1 – GENERAL

Gutbiomics, a platform owned and operated by CosmoGroup BV, (hereinafter “we”, “us”, “our”, “Gutbiomics”), with registered office at Ringlaan 7, 9900 Eekloo, Belgium and registered with the Crossroads Bank for Enterprises under business registration number xxxx, takes responsibility for the processing of your Personal Data as a “data controller”.

Gutbiomics processes Personal Data in accordance with the legislation in force, and, in particular, Regulation 2016/679 of 27 April 2016 on the protection of individuals with regard to the processing of Personal Data and the free movement of such data, applicable from 25 May 2018 (hereinafter the "GDPR").

The access to or use of the Platform implies your full and unreserved understanding of this Privacy Notice. This means that you were fully informed to how Gutbiomics collects, uses and processes your Personal Data, in accordance with the provisions of this Privacy Notice and for the purposes listed in this Privacy Notice.

3.2          Direct Marketing

 

If Gutbiomics has obtained your contact details in the context of providing the Platform, Gutbiomics may use your Personal Data to send you, via e-mail, promotional material regarding similar services we may offer. This is based on Gutbiomics’ legitimate interest. 

 

Other promotional material, concerning non-similar services we may offer, will only be sent to you if you have given us your prior consent to do so.

 

Gutbiomics may also transfer some of your contact details to its Data Processors, for direct marketing purposes relating to Gutbiomics’ services.

 

3.3          Transfer to third parties

 

Gutbiomics treats Personal Data as confidential information and will not disclose or communicate them to third parties under any condition or for any purpose other than those specified in this Privacy Notice, or under the conditions in which the law requires us to do so.

 

Gutbiomics may disclose your Personal Data to third parties to the extent that this is necessary to be able to carry out our business activities, including but not limited to suppliers and service providers that offer services related to IT-support, hosting, payment, computer security or other specific services. In any case, these third parties will not disclose your Personal Data to other third parties, except in the following situations: 

 

  • The communication of your Personal Data by such third parties to their suppliers or subcontractors is necessary to be able to carry out our business activities;
  • Such third parties are obliged by applicable law or regulations to communicate certain information or documents to the competent authorities. 

 

Gutbiomics will not sell, rent, distribute or otherwise make your Personal Data commercially available to third parties, except as provided in this Privacy Notice, or when you have given your explicit prior consent.

 

In the event of total or partial reorganization of Gutbiomics, transfer of Gutbiomicss activities or in the event of Gutbiomics being declared bankrupt, your Personal Data may be transferred to new entities or third parties. Gutbiomics will inform you in advance of the fact that Gutbiomics transfers your Personal Data to such third parties.

 

3.4          Legal requirements

 

In extraordinary circumstances it may occur that Gutbiomics is obliged to transfer your Personal Data following a court order, or in order to comply with imperative laws and/or regulations. Gutbiomics will, if reasonably possible, try to inform you beforehand, unless revealing this information is subject to legal constraints.

 

Article 4 – THE STORAGE PERIOD

Gutbiomics will store your Personal Data for the duration necessary to achieve the purposes listed in Article 3 of this Privacy Notice, including for as long as this is essential for the contractual relationship between you and Gutbiomics.

 

Gutbiomics may also store your Personal Data in order to comply with applicable laws or as part of legal requirements, including storage obligations after the termination of the contractual relationship between you and Gutbiomics. Therefore, the retention periods mentioned below shall not apply where Gutbiomics is legally obliged to store your Personal Data for shorter or longer periods of time, including by applicable statutes of limitation for invoicing, payment, accounting, tax and regulatory compliance.

Article 5 – YOUR RIGHTS

5.1       Right of access and right to obtain a copy

At any time, you have the right to freely obtain access to your Personal Data, as well as to be informed about the purpose of the processing.

5.2       Right to rectification, erasure or restriction

You always have the right to ask to rectify your Personal Data when you think it is inaccurate.

 

You can also request the processing of your Personal Data to be restricted if you think that your data is inaccurate and you subsequently have made notification of this.

 

In addition, you have the right to ask to erase your Personal Data in as far it is not possible to anonymize it.

5.3       Right to object

You have the right to object to the processing of your Personal Data when you have and provide serious and legitimate reasons to do so. 

 

You also have the right to object to the use of your Personal Data for direct marketing purposes. In such case, you do not need to provide a specific reasoning for your objection.

5.4       Right to data portability

You have the right to obtain your Personal Data, which is processed by Gutbiomics in a structured, commonly used format and/or to transfer this data to another data controller.

5.5       Right to withdraw consent

When the processing of your Personal Data is based on your prior consent, you have the right to withdraw this consent at any time. 

5.6       Automated decisions and profiling

You have the right to request not to be subject to a decision based solely on automated processing, including profiling, which produces legal effects concerning you or similarly significantly affects you.

This is without prejudice to proceedings before the civil courts. If you have suffered damage as a result of the processing of your Personal Data, you may file a claim for compensation.

Article 6 – SAFETY AND CONFIDENTIALITY

Gutbiomics has adopted safety measures which are suited on a technical, organizational and physical level to avoid the destruction, the loss, the forgery, the adjustment, the non-authorized access or the notification of the Personal Data by accident to a third party, as well as the non-authorized processing of these data. 

 

Nevertheless, if these events would occur and would affect your Personal Data, Gutbiomics will inform you of the breach without undue delay, including a summary description of the potential impact and a recommendation on measures to mitigate the possible adverse effects of the breach. 

 

Gutbiomics shall not be liable in any way for direct or indirect damages caused by a wrongfully or improper use of the Personal Data by a third party.

 

At the same time, you also share responsibility for maintaining the privacy and security of the services, for example: by not allowing any third party to have insight into your personal account.

Article 7 – APPLICABLE LAW AND JURISDICTION
